Introduction

1.1 These Terms and Conditions (“Terms”) govern the sale of goods by Aquasoft Ltd (“we”, “us”, “our”) to all customers (“you”, “your”). 

1.2 By placing an order, you agree to be bound by these Terms. If you are a business customer, these Terms take precedence over any terms you provide unless expressly agreed in writing. 

1.3 These Terms comply with relevant UK consumer and commercial legislation and are designed to protect both parties in electronic wholesale transactions. 

Orders & Contract Formation

2.1 All orders are subject to acceptance and product availability. 

2.2 A binding contract is formed only when we confirm your order in writing (including by email) or when goods are dispatched. 

2.3 We reserve the right to cancel or refuse orders where: 

  • fraudulent activity is suspected,
  • payment is not authorised, 
  • stock is unavailable, or 
  • restrictions apply to the sale of specific products. 

Product Information & Authenticity

3.1 We make every effort to ensure descriptions, specifications, and prices are accurate. 

3.2 All products supplied by us are sourced from accredited suppliers to ensure authenticity. Refurbished or clearance stock will be clearly identified as such. 

3.3 It is your responsibility to ensure that goods ordered are compatible with your requirements and local networks. 

Pricing & Payment

4.1 Prices are quoted in GBP (£). Where applicable, additional delivery or service charges will be confirmed at checkout. 

4.2 Payment must be made in full at the time of order unless credit terms are agreed in writing. 

4.3 If you fail to make payment on time, we may suspend or cancel outstanding orders and charge interest on overdue balances. 

Delivery & Risk

5.1 Delivery dates are estimates only. We are not responsible for delays outside our reasonable control, including global supply chain disruptions. 

5.2 Risk of loss or damage passes to you once the goods are delivered to the agreed address or collected by your carrier. 

5.3 Title to goods remains with Aqua Soft Ltd until full payment has been received. 

5.4 Deliveries must be signed for unless otherwise agreed. Any visible damage must be reported immediately upon receipt. 

Cancellations, Returns & Refunds

6.1 Orders may be cancelled before dispatch by notifying us in writing. 

6.2 Consumers purchasing online have the right to cancel their order within 14 days of receiving the goods, provided items are returned unused and in resaleable condition. 

6.3 Business customers may return goods only with prior written agreement and in line with our Returns Policy. 

6.4 Faulty or damaged goods must be reported within 7 working days of delivery. 

6.5 Refunds will be processed within 14 days once returned goods are received and inspected. 

6.6 Certain items such as software, digital downloads, and personal-use accessories (e.g. earphones) are non-returnable once opened, unless faulty. 

Warranties

7.1 New products are covered by the manufacturer’s warranty. 

7.2 Refurbished goods will include a limited warranty period, details of which will be confirmed at the time of purchase.

7.3 Warranty does not cover faults caused by misuse, unauthorised repair, or physical damage.  

Liability

8.1 We do not exclude or limit liability for death, personal injury, or fraud. 

8.2 For consumers, your statutory rights remain unaffected. 

8.3 For business customers, our liability shall not exceed the value of the goods supplied and we are not liable for indirect or consequential losses such as loss of profit, data, or business opportunity. 

Data Protection & Privacy

9.1 We process personal information in compliance with the UK GDPR and the Data Protection Act 2018. 

9.2 We will not share your data with third parties except where necessary to process your order or comply with legal obligations.

Intellectual Property

10.1 All content on our website — including product listings, images, and branding — is owned by or licensed to Aquasoft Ltd and may not be copied or reused without permission. 

Force Majeure

We are not responsible for failure or delay in fulfilling obligations due to events beyond our reasonable control, including strikes, natural disasters, pandemics, transport disruption, or import/export restrictions. 

Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
